1. Essential Investment Managers Private Limited (“EIMPL” or “Company”) is a private limited company (CIN: U66190KA2021PTC145058) incorporated on March 09, 2021, under the Companies Act, 2013, and registered with the Bangalore ROC. The registered office of the Company is at No. 51, 3rd Floor, Le Parc Richmonde, Richmond Road, Shanthala Nagar, Bangalore – 560025, Karnataka, India.

2. EIMPL is registered with SEBI as a non-individual Investment Adviser, with effect from April 24, 2023, with INA000017912 as the SEBI registration number. The said registration is valid perpetually. EIMPL, as a non-individual investment adviser, is also enlisted with BSE Limited as a member having the enlistment number 1981. 3. On the Platform, EIMPL only provides credit facilitation services through partnerships with various RBI-registered NBFCs/Banks (“Lenders”), enabling users to avail credit facilities from the Lenders, via a separately identifiable department which works at an arm’s length from the investment advisory department of EIMPL.

4. All the information displayed on creditcase.in and the mobile application ‘creditcase’ (hereinafter referred to as “the Platform”) is only for informational purposes and is intended to help users make an informed decision. 

5. Details of credit facilitation services provided by EIMPL on the Platform:

   1. EIMPL has partnered with various Lenders to facilitate and service the users with respect to credit services.  To process loan applications, the users are directed to the loan application platform of EIMPL which is built and maintained by an associate company of EIMPL. 

   2. By virtue of the partnership EIMPL has with NBFCs/Banks, it shall not be construed that EIMPL is underwriting the credit arrangement between the NBFC/Bank and the prospective clients. EIMPL is merely facilitating the referral of credit product(s) of partner NBFCs/Banks and is not liable for any non-compliance with the applicable laws in relation to such credit product(s).

   3. The decision of the Lender on whether or not the prospective client be offered the credit product, shall be at the Lender’s sole and absolute discretion, which cannot be challenged or open for scrutiny.

   4. The credit products offered and provided by the Lender to the prospective clients shall form a valid contract directly between the prospective client and Lender for the relevant credit product. EIMPL shall only be responsible for passing on the information for the loan application from the prospective client to the Lender on an ‘as is basis’.

   5. EIMPL has partnered with Bajaj Finance Limited and is acting as its lending service provider. Following are the details of the same:

6. EIMPL’s terms and conditions allow for collecting information and documents from the prospective clients, including information and documents required for ‘Know Your Customer’ checks and sharing the information of the prospective clients with Bajaj Finance Limited for the purposes of processing the Prospective Client’s loan application and providing credit/loans services

7. Essential Investment Managers Private Limited does not charge any fee or transaction charges from the prospective clients in relation to the credit services availed by them from Bajaj Finance Limited

8. Essential Investment Managers Private Limited shall not be responsible for any disputes arising between Bajaj Finance Limited as the case may be, and the Prospective Clients referred by EIMPL with respect to the credit facility.

CASE Platforms Private Limited (formerly known as “Smallcase Technologies Private Limited”; hereinafter “CPPL”), holding 100% shares of the Company, bearing CIN: U62099KA2015PTC081722 with its registered office at No 51, 3rd Floor, Le Parc Richmonde Richmond Road, Shantala Nagar Bangalore, 560025. CPPL holds a Mutual Fund Distributor registration (ARN 276729) granted by the Association of Mutual Funds in India (AMFI); CPPL does not distribute any regular plans of mutual funds. CPPL is also registered with AMFI as a ‘Category – I Execution Only Platform’ bearing registration number CAT-1 EOP -0004 for enabling transactions in direct schemes of mutual funds.

   2. Windmill Capital Private Limited (WCPL; a wholly owned subsidiary of CPPL and incorporated as a Private Limited Company under the Companies Act, 2013) is registered with SEBI as a Research Analyst having INH200007645 as the SEBI registration number. The said registration is valid perpetually from 25 June, 2020. WCPL, as a research analyst, is also enlisted with BSE Limited as a member having the enlistment number 5380. The CIN of WCPL is U74999KA2020PTC132398 with its registered office address at: No. 51, 3rd Floor, Le Parc Richmonde, Richmond Road, Shanthala Nagar, Bangalore – 560025. 

   3. Anchorage Technologies Private Limited (ATPL; a wholly owned subsidiary of CPPL and incorporated as a Private Limited Company under the Companies Act, 2013), bearing CIN: U74220KA2021PTC142979 with its registered office at: No. 51, 3rd Floor, Le Parc Richmonde, Richmond Road, Shanthala Nagar, Richmond Town, Bangalore - 560025. ATPL runs a content and information platform known as Tickertape. ATPL is also registered with AMFI as a Mutual Fund Distributor (ARN 253554); ATPL does not distribute any regular plans of mutual funds.  

   4. Nexum Finvest Private Limited (NFPL; a wholly owned subsidiary of CPPL and incorporated as a Private Limited Company under the Companies Act, 2013), bearing CIN U64990KA2023PTC172732 with its registered office address at: No. 51, 3rd Floor, Le Parc Richmonde, Richmond Road, Shanthala Nagar, Bangalore – 560025. NFPL is registered with the NSE as an Authorized Person (AP) of Zerodha Broking Limited (ZBL), bearing registration code AP2516003703. The said registration is valid perpetually with effect from 10 December 2024. Being an AP, NFPL refers potential clients to ZBL for opening a demat & trading account with ZBL.

   5. Zerodha Asset Management Private Limited (ZAMPL; incorporated as a Private Limited Company under the Companies Act, 2013) bearing CIN: U67190KA2021PTC155726 with its registered office address at: INDIQUBE PENTA New No. 51 (Old No.14), Richmond Road, Bangalore - 560025. CPPL is a shareholder in ZAMPL. ZAMPL is an asset manager to Zerodha Mutual Fund, a SEBI-registered mutual fund house bearing registration number MF/080/23/06, valid perpetually from 11 August 2023.
